Terms of sale and website use

The terms on which materials are supplied: who may buy, what the materials may be used for, how an order is formed, and what this catalog's data currently means.

Northlake Peptide Laboratories, Inc. is a demonstration brand and this document is a structurally complete placeholder, not legal advice and not a reviewed agreement. It states the intended position in plain terms so that a lawyer has something concrete to correct. Do not rely on it, and do not publish it in a live store without review by qualified counsel in your jurisdiction.

These terms apply to your use of this website and to any supply of materials by Northlake Peptide Laboratories, Inc.(“we”, “us”). By using the site or submitting an order request you accept them. If you are placing an order for an organisation, you confirm you are authorised to accept them on its behalf.

1.Who may buy

Materials are supplied business-to-business only, to organisations, not to individuals buying for themselves. To place an order you must be at least 18 years old, acting for an organisation, and authorised to bind that organisation to these terms.

Both catalog lines require account qualification before an order is accepted. Research materials are supplied to institutional laboratories, contract research organisations, and analytical facilities with personnel trained to handle laboratory reagents. Cosmetic ingredients are supplied to manufacturers, contract formulators, and brand owners.

We may decline to open an account, decline an order, or close an account, at our discretion and without being obliged to state a commercial reason. Where an order is declined for a compliance reason, we will say so.

2.Permitted use of the materials

Research-line materials are laboratory reagents supplied for in vitro research and analytical use by trained personnel in an appropriate facility. They are not drugs, not foods, not dietary supplements, not cosmetics, and not medical devices. They are not supplied for administration to humans or animals, for diagnostic or therapeutic use, or for incorporation into any product intended for consumption or application to the body.

Cosmetic-line materials are bulk raw ingredients supplied for incorporation into finished cosmetic products by a manufacturer. They are not finished cosmetics, are not supplied for direct consumer use, and carry no representation that any particular finished product made with them is safe, compliant, or fit for sale.

You agree not to resell, transfer, or supply any material for a use excluded above, and not to represent to any third party that we have approved such a use. Reselling material to consumers for personal use is a breach of these terms.

A use restriction is not a legal opinion about the material. Where a substance is controlled, prescription-only, or otherwise restricted where you are, that status governs irrespective of anything on this site, and it is your obligation to establish it before ordering. See the research use policy.

3.Status of the catalog data

This catalog is a structured placeholder. No product, specification, price, lot number, document, or availability figure on this site has been verified, and nothing here should be relied on for procurement.

Every specification field carries a visible status. A field marked verified has been checked against a released lot record. A field marked placeholder is a structurally valid value that has never been measured. A field marked pending is one where a determination is expected but not yet available. At present the catalog is unverified in its entirety — which is why prices are withheld from the structured data this site publishes and why no document is downloadable.

Where verified data and this notice conflict, this notice governs. Specifications, availability, and prices may change without notice, and no statement on this site is an offer capable of acceptance.

4.Orders, quotations, and acceptance

Submitting an order request through this site creates a record and a reference. It is not an order, it is not a contract, and nothing is charged. No payment method is collected anywhere on this site, and no payment processing is connected to it.

An order exists only when we have reviewed buyer qualification, issued a written quotation covering price, quantity, lead time, shipping method, and tax, and you have accepted that quotation in writing. Any terms you attach to a purchase order that conflict with these terms have no effect unless we agree to them in writing.

Prices, where shown, exclude shipping, insurance, duties, and taxes. Quotations are valid for the period stated on them.

5.Documentation

Materials are supplied with a certificate of analysis for the lot delivered and a safety data sheet for the product. A certificate reports what was measured on one batch, by stated methods, on a stated date. It is not a warranty of performance in your application and does not describe any other batch.

You are responsible for your own incoming inspection and for confirming that the material is suitable for your intended use. Suitability depends on your system, and no supplier can determine it for you.

Lot records are retained so that a certificate can be re-issued after material has been consumed. See quality standards.

6.Shipping, title, and risk

Shipping method and lead time are confirmed on the quotation. Risk in the material passes on delivery to the address stated on the accepted quotation; title passes on payment in full.

For shipments outside the United States, you are the importer of record and are responsible for confirming that the material may lawfully be imported, held, and used at the destination, and for any duties, taxes, and clearance obligations.

Damage, shortage, or a transport temperature excursion must be reported on receipt, with the packaging retained. See shipping and returns.

7.Returns

Material that has left our control cannot be re-released to another customer, because its storage and handling history is no longer documented. Returns are therefore accepted only where the material supplied is not the material ordered, was damaged in transit and reported on receipt, or does not conform to the documentation issued for its lot.

Contact us before returning anything. Unannounced returns cannot be matched to an order, and material returned outside its stated storage condition cannot be assessed.

8.Warranties and their limits

We warrant that material supplied conforms to the specification stated in the documentation issued for its lot at the time of delivery. That is the entire warranty given.

To the fullest extent permitted by law, all other warranties, express or implied, including merchantability and fitness for a particular purpose, are disclaimed. Nothing in these terms excludes liability that cannot lawfully be excluded.

Because this catalog is a placeholder (section 3), no material is currently offered under this warranty.

9.Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or in connection with an order is limited to the amount paid for the material giving rise to the claim. We are not liable for indirect, incidental, special, or consequential loss, for lost profits, or for loss of data or research results.

You are responsible for the use you make of the material, for the conditions under which it is handled and stored after delivery, and for compliance with the laws that apply to you. You agree to indemnify us against claims arising from a use of the material excluded by section 2.

10.Use of this website

The content of this site — text, layout, structure, illustrations, and code — is ours or used with permission, and may not be copied for commercial use without consent. All illustrations on this site are original works created for it; none is licensed stock photography.

You may not scrape the catalog at a rate that degrades the service, attempt to circumvent access controls, or use the site to distribute unlawful content. Accounts used to do so are closed.

11.Changes, governing law, and contact

We may amend these terms. The effective date at the top of this page states when the current version took effect, and an order is governed by the version in force when the quotation was accepted.

These terms are governed by the laws of the State of [STATE], United States, without regard to conflict-of-law rules. The parties submit to the courts of that jurisdiction. Placeholder — the governing-law and venue clauses must be set by counsel for the state in which the entity is actually formed.
